Welcome to the Sage Partner Hub. This agreement describes how you are able to use and access the Sage Partner Hub. By accessing or using any part of this site you agree that you are subject to and will comply with these terms therefore you must ensure you read these terms carefully prior to proceeding. If you do not accept these terms you must not access or use the Sage Partner Hub in any way.
- What these terms are about
Your use of the Sage Partner Hub is subject to these terms and conditions (the ”Terms and Conditions”) and the documents we refer to (as updated by us from time to time) which form the agreement between you and us, and which includes any partner agreement we (or our affiliates) may have in place with you from time to time, our Privacy Notice (the “Agreement”). If there is any conflict between these terms and any partner agreement we have in place with you, these Terms and Conditions will take precedence to the extent of any conflict relating to the Sage Partner Hub and the partner agreement terms will prevail to the extent of any conflict relating to your partner relationship with Sage.
These Terms and Conditions describe how you (the person accessing the site) can use the Sage Partner Hub which is a portal that provides access to tools and resources as a benefit of your partnership with Sage. The Sage Partner Hub is a site operated by Sage Global Services Limited. We are limited company registered in England and Wales under company number 09506951 and have our registered office at North Park, Newcastle upon Tyne NE13 9AA.
We may update this Agreement at any time. We will make reasonable efforts to communicate any changes to you by a notification in the Sage Partner Hub , but it is up to you to ensure that you regularly check, read, understand and agree to the most recent version of this Agreement as you will be deemed to accept all updates if you continue to access and use the Sage Partner Hub. A link to these Terms and Conditions will be located in the Sage Partner Hub.
- Access rights and usage
- This Sage Partner Hub is available to certain partners signed up to a separate partner agreement and in particular to individual users who have been provided with credentials to enable them to access the Sage Partner Hub (the “Users”).
- Access to the Sage Partner Hub is permitted according to the conditions we set from time to time in relation to the extent of access and content available to Users.
- You (and your Users) must not:
- introduce any viruses or other technologically harmful material to the Sage Partner Hub;
- try to gain unauthorised access to the Sage Partner Hub or any underlying technology; or
- try to affect the availability of the Sage Partner Hub (sometimes called ‘a denial-of-service attack’).
- Whilst we will try to ensure that the Sage Partner Hub is free from viruses, we cannot guarantee this. Therefore we recommend that you use your own virus protection software. Any content that you upload to the Sage Partner Hub must be virus-free and any upload remains your responsibility.
- We cannot guarantee that the Sage Partner Hub will be error free or compatible with your browser or computer set-up, or that your access to the Sage Partner Hub will not be interrupted (this may be beyond our control).
- From time to time we may temporarily stop providing access to our Sage Partner Hub for maintenance, repairs or other reasons.
- Sage reserves the right to modify, suspend or terminate the Sage Partner Hub or any part of it (including entitlements and levels of access and content) from time to time in our absolute discretion.
- If you require assistance in relation to the Sage Partner Hub, you can contact us by raising a support request (e.g. a case) through the Sage Partner Hub or by contacting your partner account manager.
- As a User of the Sage Partner Hub, you will have access to the features and content of the Sage Partner Hub according to your unique Sage Partner category and profile.
- Users must keep any credentials safe and secure and must not share them with anyone else or allow anyone else to use their details to access the Sage Partner Hub. Users are responsible for all activity that occurs under their credentials. We take security seriously so you must tell us immediately of any security breach (or potential breach) (for example if you think someone has accessed your account or could do so).
- Users are not permitted to use any information or content contained within the Sage Partner Hub to contact any individuals or businesses via the Sage Partner Hub or by using other means in order to advertise or promote their products or services or the products or services of any third party. If we become aware of any User contacting individuals or businesses in this way then we may, without any prior notice, immediately and permanently revoke any access or account to the Sage Partner Hub for that particular User.
- You are only permitted to access and use the Sage Partner Hub for the purposes for which you have expressly been given permission by Sage. Please note any separate agreement with Sage is unaffected by these terms, including but not limited, to any agreement between Sage and customers.
- You also agree not to use any information supplied on the Sage Partner Hub, whether by Sage or another user, for any action not expressly permitted by these terms and you will not gather or use public email addresses made public in any profile information or otherwise for your own purposes.
- You must comply with our instructions relating to the Sage Partner Hub at all times.
- Content and usage
- The Sage Partner Hub contains a variety of content, including learning materials, which is provided for informational purposes only. This content is provided for general information only. It is not intended to amount to advice on which you should rely, unless we tell you otherwise. You must obtain professional or specialist advice before taking, or refraining from, any action on the basis of the content on the Sage Partner Hub. Although we make reasonable efforts to update the information on the Sage Partner Hub, we make no representations, warranties or guarantees, whether express or implied, that the content on the Sage Partner Hub is accurate, complete or up-to-date.
- Please note that if you access any third-party websites through your use of the Sage Partner Hub, these third party websites usually have their own terms of use and privacy policy which we urge you to read before sharing any content from the Sage Partner Hub. Sage does not accept any responsibility or liability for any third-party websites and your access to and use of such services and content (including sharing any content from the Sage Partner Hub) is at your own risk. We may add or remove any links to social media websites from the Sage Partner Hub from time to time at our sole discretion.
- There are interactive areas on the Sage Partner Hub. Sage cannot be responsible for the use of these areas by Users although we will look into any concerns you have if you report those to us.
- Your information and privacy
- Both Sage and you agree that at all times we shall comply with all applicable data protection and privacy laws including (but not limited to) GDPR (EU General Data Protection Regulation 2016/679).
- We will only process your personal information as set out in our Privacy Notice.
- You acknowledge and agree that we may from time to time introduce privacy guidelines in the event that we operate as joint controllers and / or share data in a particular way.
- Where you submit a customer referral lead through the Sage Partner Hub, you agree that your actions, obligations and the referral itself complies with all applicable rules, regulations and laws including those relating to e-commerce, data protection, marketing and shall not use any unethical or improper means. Any referrals submitted shall be governed by the terms of your relevant partner and/or referral agreement.
- Intellectual Property Rights
- The design and content of the Sage Partner Hub is protected by copyright and is owned by Sage and its licensors and all legal rights are reserved. You agree not to copy, adapt, alter or create any derivative work from any material within the Sage Partner Hub.
- You may not use any of Sage’s trade marks or any third party trade marks that appear on the Sage Partner Hub, other than as permitted by us (or the relevant owner) in writing or by law. In particular, you may not use the marks as meta-tags nor may you sponsor them in search engines. All goodwill in your legitimate use of the marks accrues to the relevant owner of that mark. Please notify us immediately if you become aware of any infringement of the marks.
- All other intellectual property rights in the Sage Partner Hub are Sage’s property (or Sage’s licensors’ property).
- You must not (whether knowingly or otherwise) submit any content to the Sage Partner Hub that infringes any intellectual property rights (such as, copyright and trade marks or any other proprietary rights) of any third party. This means that you must own the rights in all content which you submit to the Sage Partner Hub (such as, logos), or you must obtain permission from the rights owner before submitting the relevant content to the Sage Partner Hub.
- There may be interactive areas in the Sage Partner Hub, such as areas where some Users may submit suggestions and feedback to Sage in relation to how Sage may improve its products and services (“Feedback”). By submitting Feedback you understand and agree that such Feedback is not confidential and is free to be used by Sage in any way that it sees fit without restriction, including without limitation, any copyright and all other intellectual property rights. Please note, that with immediate effect, upon the creation of any intellectual property right in respect of any Feedback that may be submitted by a User, the User hereby grants to Sage a perpetual, exclusive, irrevocable, royalty-free, worldwide licence of any intellectual property rights arising from or created, or produced or developed in respect of the Feedback to use and/or copy, prepare derivative works of, modify, reproduce and exploit commercially such intellectual property in any way and to take such other action in respect of the Feedback as may be reasonably necessary for Sage’s legitimate business purposes.
- You hereby unconditionally and irrevocably waive in favour of Sage and any of Sage’s licensees, sub-licensees, assignees and successors in title, in respect of the Improvement Idea, all moral rights (moral rights include the right to be identified as the author of the Improvement Idea) to which you may be entitled at any time under the Copyright, Designs and Patents Act 1988 (as amended from time to time) and so far is as legally possible, any broadly equivalent rights that you may have anywhere in the world.
- At the reasonable request and cost of Sage, the User shall take any action which Sage considers necessary to give full effect to this clause 5.
- Account management and termination
- Please note any separate agreement you have with Sage is unaffected by these terms; this means, for example, that any existing service contract, partner agreement, subscription or software licence agreement will not be affected by any account cancellation or termination under these Terms and Conditions.
- Your profile will have some default settings which you can check by accessing your user profile settings within the ‘My Profile’ area. You are responsible for the configuration of your profile to ensure you are able to use the Sage Partner Hub in a user friendly way. Possible separate section for Partner Administrators: Company information will have some default settings and will only be accessible by the Partner Administrator in your organization. The partner Administrator is responsible for maintaining the company information and users and can do so by accessing the ‘My Company’ area.
- You will no longer be able to access your Sage Partner Hub account in the event that your partner agreement is cancelled, terminated or otherwise expires and we may deactivate your account.
- Without prejudice to any other rights or remedies we may have, we shall be entitled to terminate these terms and cancel your account immediately on written notice to you if any one or more of the following occurs (or, where relevant, occurs in relation to your business or that of the customer to which your account is linked):
- you commit a breach of any of these terms; or
- you suspend, or threaten to suspend, payment of your debts or are unable to pay your debts as they fall due or admit your inability to pay your debts or are deemed unable to pay your debts within the meaning of section 123 of the Insolvency Act 1986; or
- you commence negotiations with all or any class of your creditors with a view to rescheduling any of your debts, or make a proposal for or enter into any compromise or arrangement with your creditors; or
- a petition is filed, or a notice is given, or a resolution is passed, or an order is made, for or on connection with the winding up of your business; or
- an application made to court, or an order is made, for the appointment of an administrator or if a notice of intention to appoint an administrator is given or if an administrator is appointed; or
- a floating charge holder over your assets has become entitled to appoint or has appointed an administrative receiver; or
- a person becomes entitled to appoint a receiver over your assets or a receiver is appointed over your assets; or
- you suspend or cease, or threaten to suspend or cease, to trade; or
- any event occurs, or proceeding is taken, in any jurisdiction that has an effect equivalent or similar to any of the events mentioned in clauses 6.4.2 - 6.4.8 inclusive.
- You agree to immediately cease accessing or using the Sage Partner Hub once your access expires and / or is terminated.
- Our responsibility for loss or damage suffered by you
- This clause 7 sets out our entire liability to you which arises out of or in connection with these Terms and Conditions whether in contract, tort (including negligence or breach of statutory duty), misrepresentation or otherwise. Different limitations and exclusions of liability will apply to liability arising as a result of any other partner agreements we have in place with you.
- We will not be liable to you for any loss of damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with:
- Use of, or inability to use, our site; or
- Use of or reliance on any content displayed on our site.
In particular, we will not be liable for:
• Loss of profits, sales, business or revenue;
• Business interruption;
• Loss of anticipated savings;
• Loss of business opportunity, goodwill or reputation; or
• Any indirect or consequential loss or damage.
- We do not exclude or limit in any way our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors and for fraud or fraudulent misrepresentation.
- All warranties, conditions and other terms implied by statute or common law are, to the fullest extent, permitted by law, excluded from these Terms and Conditions.
- What else do you need to know?
- If a court or similar body decides that any wording in this Agreement cannot be enforced, that decision will not affect the rest of this Agreement, which will remain binding on both of us. However, if the wording that cannot be enforced could be enforced if part of it is deleted, we will both treat the relevant part of the wording as if it is deleted.
- This Agreement is the entire agreement between you and us relating to the Sage Partner Hub and replace all documents, information and other communications (whether spoken or written) between us for such use and you agree that you have not relied upon any such documents, information and other communications in entering into this Agreement.
- You must not assign or transfer this Agreement to anyone else. We may assign or transfer this Agreement to another organisation which is part of our group of companies at any time.
- If circumstances beyond our reasonable control arise, we will not be liable for failing to meet our responsibilities in this Agreement for as long as those circumstances continue.
- Nothing in this agreement gives anyone any right or benefit under the Contracts (Rights of Third Parties) Act 1999 or otherwise.
- This Agreement is governed by English law and you and we both agree that the English courts will be the only courts that can decide on legal disputes or claims about this Agreement.
